Additional Terms for Heroku Elements Marketplace Providers

Effective October 1, 2020

If you are or become a Heroku Elements Marketplace Provider, you agree that your participation in the Heroku Elements Marketplace is governed by the Salesforce License and Distribution Agreement for the Heroku Elements Marketplace. SFDC may modify or amend the Salesforce License and Distribution Agreement for the Heroku Elements Marketplace from time to time.

Italian Providers of the Heroku Elements Marketplace

General Terms and Conditions - Acceptance. If you are a Heroku Elements Marketplace Provider domiciled in Italy, you acknowledge and expressly agree to the following provisions of the Salesforce License and Distribution Agreement for the Heroku Elements Marketplace, as referenced hereunder, pursuant to section 1341 of the Italian Civil Code: (INTEGRATION OF THE PROVIDER SERVICE), (PRICE CHANGES), (EULA), (TAXES), (PAYMENTS), (OWNERSHIP OF INTELLECTUAL PROPERTY RIGHTS), (TERMINATION BY EITHER PARTY), (REPRESENTATIONS AND WARRANTIES), (INDEMNIFICATION), (EXCLUSIONS AND LIMITATIONS OF LIABILITY), (ANTI-CORRUPTION AND LAWS AND COMPLIANCE WITH LEGISLATIVE DECREE 231/2001), (GOVERNING LAW), (VENUE), (GENERAL).

Any individual who accepts these Additional Terms on behalf of a company or other legal entity represents that (s)he has the authority to bind such entity and its affiliates to these Additional Terms, and the term “you,” “your” and “Provider” shall refer to such entity and its affiliates. If the individual accepting these Additional Terms does not have such authority, or does not agree with these Additional Terms, such individual must not register an account, access the Heroku Elements Marketplace or use the Provider Portal.
